SATORID / LEGAL
Terms & Conditions
Information about SATORID and this website.
This English translation is provided for information. In case of a discrepancy, the German version is authoritative.
1. Provider, scope, and formation of contract
These General Terms and Conditions (“Terms”) apply to contracts for services provided by SATORID KI Agentur, Valentin Klein, Kälberschüttstraße 1b, 85053 Ingolstadt, Germany (“SATORID”), to entrepreneurs within the meaning of Section 14 of the German Civil Code (Bürgerliches Gesetzbuch, BGB), legal entities under public law, and special funds under public law (“Client”). They apply only if incorporated into the relevant contract. Merely viewing this website, using the sample demo, or booking a strategy call does not create a paid contract.
A contract for SATORID’s services is formed through an individual agreement. Individually negotiated terms and the signed project agreement, including its schedules, take precedence over these Terms. This applies in particular to the scope of services, prices, payment schedule, contract term, minimum term, and service-level provisions.
2. Services and limitations
Under the applicable project agreement, SATORID designs, develops, integrates, and supports custom AI Concierge solutions for phone conversations and WhatsApp chats. Potential functions include receiving and handling inquiries, providing information based on company materials approved by the Client, qualifying prospects, preparing or booking appointments, and handing information over to the Client’s team in a structured way. The individual project agreement alone determines which channels, languages, conversation flows, integrations, and operational services are included.
SATORID does not promise any particular number of inquiries, appointments, sales, or amount of revenue unless such an outcome has been expressly agreed on an individual basis. Unless expressly agreed and technically safeguarded, the AI Concierge is not authorized to make legally binding statements or commitments on the Client’s behalf. Statements about prices, availability, reservations, or other business-critical matters must follow the rules and data approved by the Client.
3. Client cooperation
The Client provides the information, materials, approvals, and access required for the agreed project in a timely manner. The Client is responsible for the accuracy, currency, and lawful usability of the information and materials it supplies. The Client informs SATORID of changes to offers, prices, availability, responsibilities, or legal requirements to the extent they affect operation of the agreed solution.
The Client determines which conversation and communication channels are permitted and which contacts may be approached under any agreed outbound use. The necessary legal basis and consent for promotional contact must be clarified before use. SATORID and the Client agree on the necessary technical and organizational requirements for each project.
4. Project process, changes, and acceptance
Setup, integration, testing, approval, and go-live follow the agreed project plan. Before changes or additions to the agreed scope are implemented, the parties agree on their impact on effort, timing, and fees. Where formal acceptance of a specific work product has been agreed or is required by law, the procedure and consequences are governed by the project agreement and applicable law.
5. Fees and third-party providers
Setup fees, recurring fees, any usage-based charges, and payment deadlines are set out in the individual project agreement, an offer incorporated into it, and the resulting invoice. If no payment deadline has been agreed, the statutory rules on when payment becomes due and on late payment apply. There is no setup fee or retainer amount that applies to every project.
The parties specify in their contract which third-party providers will be used for telephony, WhatsApp, AI models, automation, calendars, CRM, or hosting, and who bears their costs. Additional services or third-party charges are billed only as provided in the individual agreement.
6. Term and termination of ongoing services
The start date and any minimum term for ongoing services are set out in the individual project agreement. Unless a different termination rule has been agreed for a monthly retainer, either party may terminate it effective at the end of the calendar month following the month in which the termination notice is received. In that case, no general minimum term applies. Notice of termination may be given in text form, including by email. The right to terminate for good cause remains unaffected.
Ending ongoing services does not affect payment claims that have already arisen or project services agreed separately. The project agreement, any applicable data processing agreement, and statutory duties determine which data, configurations, and access credentials must be handed over or deleted at the end of the contract.
7. Support and availability
Support channels, service hours, response times, maintenance windows, and any minimum availability apply only if they are specifically set out in the project agreement or an incorporated service-level agreement (SLA). An initial response time is not a guaranteed resolution time. SATORID informs the Client of material disruptions to the service through the agreed support processes. The Client’s statutory rights remain unaffected.
8. Rights of use and content
The Client retains its rights in the content, data, and marks it provides. It grants SATORID the rights of use required to perform the agreed services for the term of the contract. SATORID retains its pre-existing methods, templates, software components, and general know-how. The individual project agreement determines which rights of use the Client receives in project-specific configurations, documentation, or other work product, and whether source code or access credentials must be handed over. These Terms alone do not require such a handover.
9. Data protection and confidentiality
Each party complies with the data protection laws applicable to its activities. Roles, purposes, service providers, and technical requirements are defined for the specific project. Where SATORID processes personal data on the Client’s behalf, the parties enter into any required data processing agreement under Article 28 GDPR before that processing begins.
Both parties keep the other party’s confidential business and technical information confidential and use it only to perform the contract. This does not apply to information that becomes public without a breach of contract or is lawfully obtained from a third party. Statutory disclosure duties remain unaffected.
10. Liability
The statutory rules on liability apply unless the parties have agreed an effective different provision in an individual case. These Terms contain no general cap on liability and no blanket exclusion of particular categories of loss.
